Franchise law and registration in Indonesia
Indonesia is one of three markets in our ASEAN comparator with franchise-specific rules, and they changed in 2024. Government Regulation 35/2024 decides who may franchise, what must be disclosed and who has to register, from the foreign franchisor down to each outlet.
The regulation

- A franchise must meet four criteria: a business system, a proven profitable business, intellectual property that is already registered or recorded, and continuing support to franchisees. - 'Proven profitable' means at least three consecutive years of operation and the last two years of financial statements showing a profit, audited by a public accountant with an unqualified opinion. Registration: the STPW
- Every franchisor, master franchisee, franchisee and sub-franchisee, including foreign franchisors and foreign master franchisees, must hold a Franchise Registration Certificate (STPW). Applications go through the OSS online licensing system. Secondary · Tilleke & Gibbins on PP 35/2024, 2024-10-01
- The Minister of Trade issues STPWs for franchisors; regional governments issue them for franchisees. Since Trade Minister Regulation 25/2025 took effect on 29 July 2025, if a regional government does not issue a franchisee's STPW within five working days of a complete application, the OSS receipt serves as temporary proof and the outlet may operate. Disclosure
- The franchisor or master franchisee must give the prospective franchisee a prospectus in Bahasa Indonesia at least 14 calendar days before signing. It covers identity and legal standing, business history, organisation, the last two years of financial statements, the number of outlets, the franchisee list, both parties' rights and obligations, and IP registration certificates. Sanctions and local sourcing
- Sanctions are administrative only: up to two written warnings, then suspension of business for up to 14 days, then revocation of the STPW. The IDR 100 million fine of the old regime is gone.
